must be carefully distinguished from gifts for a particular purpose, which take effect even if the purpose becomes incapable of being performed. In Scott v. Fuller (2 Vern. 560), Mrs. Fuller gave some lottery tickets to her servants, on condition if 20s. or more should come up her daughter should have a moiety of it. A ticket given to an infant servant produced £1,000, it was held that the infant was bound. See also Lyte v. Peny (Dy. 49a) and Re Whittaker (21 Ch. D. 657) (as to the piano). The most common example of a gift being liable to be defeated by a condition subsequent is that of presents made by a man to a woman whom he is courting: Anon. (cited by North, C.J., 2 Mod. 141); Young v. Burrell (Cary. 77); Robinson v. Cumming (2 Atk. 409), in which case, if the marriage is broken off, the presents have to be returned; on the other hand, presents merely made to a woman to obtain introduction to her are not revocable: Robinson v. Cumming (ubi sup.). An example of the rule that a gift is not defeated by the failure of the purpose for which it is made is afforded by Leche v. Kilmorey (Turn. & Russ. 207), where A. paid a sum to an army agent to the account of N. "to be at his disposal for the use of L." The sum was really intended by the donor to be applied in purchasing promotion for L. At the death of A. the money still remained in the hands of the army agent. Afterwards, L. was obliged, from his bad health, to leave the army. Held that he was entitled to the money. The court, however, was of opinion that if L. had died in the lifetime of the donor the latter would have been entitled to the money. The reasons for this opinion are not stated, possibly the court may have thought that the gift was revocable till it was received by the donee (see ante, p. 725). Chattel not in possession of the donor.-The definition given of a chose in action by Blackstone (2 Comm. cap. 25)-viz., where a man has not the occupation, but merely a bare right to occupy the thing in question, the possession whereof may, however, be recovered by a suit or action at law; from whence the thing so recoverable is called a thing or chose in action"-is hardly correct, us the phrase is not, generally speaking, applied to specific chattels 1.ot in the possession of the true owner. See this and the various manings of "chose in action" discussed in Elphinstone's Introd. Conv., p. 170, et seq. Using the term chose in action in one of the meanings comprised in Blackstone's definition-namely, as a specific chattel not in the possession of the true owner-the law appears to be correctly laid down in Shep. Touch. 240, 241: "If a man take my goods from me, or from another man in whose hands they are; or I buy goods of another man and suffer them to be in his possession, and a stranger taketh them from him; it seems in these cases I may give the goods to the trespasser, because the property of them is still in me." Mr. Preston adds, "i.e., his acceptance of them is an admission of the property in the donor, but they cannot be given to a stranger; since, without such an admission, the party has merely a right of action or of resumption by recaption." This statement of the law appears to be founded on 6 Hen. 7, 8, and 10 Hen. 7, 27. Mr. It is curious to note how closely this follows the old law as to land. Prior to October, 1845 (see 8 & 9 Vict. c. 106, s. 6), a person who was disseised of his land could not convey it to a stranger, but he could release it to the disseisor (see Co. Litt. 265, 266). The reader who wishes to understand this part of the subject is referred to an extremely learned and interesting article by Mr. F. W. Maitland, in 2 Law Quarterly Review, 481. Maitland arrives at the conclusion that in our law until modern times it was impossible to convey-i.e., to pass the right of ownership of a thing, whether land or goods, of which the owner was unable to deliver possession, unless, indeed, in the exceptional case where the conveyance was made to the person in possession. It would be inconsistent with the scope of these articles to discuss how far the doctrine of incorporeal hereditaments lying in grant is consistent with this view; the reader who wishes to understand it is referred to Mr. Maitland's article. Assuming Mr. Maitland's views to be correct, there is but little difficulty in seeing why a chose in action in the more common meaning of the term-namely, a debt-could not till lately be transferred at law; the reason being simply that, as the debtor had not possession, he was unable to deliver possession, and therefore could not pass the right of ownership. This appears to be a more probable explanation of the rule than that given by Coke: "The great wisdom and policy of the sages and founders of our law, who have provided that no possibility, right, title, nor thing in action shall be granted or assigned to strangers, for that would be the occasion of multiplying of contentions and suits of great oppression of the people, and chiefly of terretenants and the subversion of the due and equal execution of justice": Lampet's case (10 Rep., at p. 48a). The distinction between a gift of a chattel in possession and of a chose in action is well shewn by Flower's case (1 Noy. 67). Here A. borrows £100 from F., brings it back in a bag and casts it on the table before A. A. says, "I will not have it, take it you and carry it home again with you." The court held that it was a good gift by parol, as, when it was cast on the table, it fell into F.'s possession; secus if it had been only offered to F., for then it would have been a chose in action and could not have passed without a writing. The case of Wilby v. Bower (Clayt. 135; same case 14 Vin. Ab. 19), where it is said: "If I have a horse in London, and I, being at a great distance from London, give my horse to J. S., he may have trespass without any other possession," can hardly be considered as an authority, as it is a Nisi Prius case. The references in that case to the year books are of little use in deciding the question. In connection with this subject we may remark that "there was at one time an extreme difference of judicial opinion upon the subject, but the authorities now seem to establish that the mere assignment of a bill of lading does not confer on the assign any legal right either of property or possession of the goods. It confers on him an authority to receive the goods, and that authority may, as a matter of evidence, go very far to shew that the person who has got it has acquired a right of property and possession of the goods; but unless there be such a bargain as would, independently of the assignment of the bill of lading, give an interest, the assignee of the bill acquires no interest in the goods, and consequently cannot maintain any action in his own name for any injury done to them": Blackburn on Sale, p. 391 (but see p. 415, where it is said that "the custom of merchants makes the transfer of the bill of lading equivalent to actual delivery of possession"). "The indorsement of a delivery order or dock warrant has not (independently of the Factors' Act) any effect beyond that of a token of an authority to receive possession": Blackburn on Sale, p. 418. There are no authorities as to the effect of a voluntary assignment of a bill of lading or delivery order or dock warrant, but, judging from analogy, such an assignment made by way of gift confers on the donee a right to acquire possession of the goods at any time during the lifetime of the donor, subject to the right of the latter, at any time before the donee has acquired possession of the goods, to change his mind and rescind the gift. CORRESPONDENCE. PROBATE AND ADMINISTRATION DUTY ON ESTATES UNDER £300. [To the Editor of the Solicitors' Journal.] Sir, I entirely agree with your correspondent "J. N.'s " view that the mortgage of a leasehold estate should be deducted to get at the myself in the Liverpool Registry last year, and the registrar comgross personal estate of the mortgagor. I raised the same question municated with the Inland Revenue Department, but he was instructed by them to require that Form A. be used. The following reasons appear to me to be conclusive: (1) The mortgagee has an estate in the property which, both at law and in equity, is greater than the mortgagor's. The argument that in equity the money is the mortgagee's and the land the mortga gor's, it seems to me, is erroneous. Both the money and the chief property in the land during the continuance of the mortgage is the himself in a perfectly legitimate way of the oyster and merely kept mortgagee's. In fact, the mortgagor has, in his lifetime, divested the shell. (2) It may be argued the mortgagee's estate can be redeemed by his executors; but to that I would reply that it is immaterial, inasmuch as the return in the affidavit for Inland Revenue is to be a return of the gross property at the date of the death of the mortgagor. he is possessed both of the estate he has redeemed and of the money Then, again, to require the mortgagor's executor to redeem and say he has redeemed, it ,with me, seems a little too rich. I contend that all the mortgagor has is his general personal estate and his equity of redemption of the mortgagee's estate. (3) The only way to value the equity is to deduct the value of the mortgagee's interest from the gross value of the property, and this is not deducting a debt from the general estate. (4) Form B. for affidavit where the gross estate is under £300 adapts itself to this plan in any such case; but with regard to Form A. this remark applies: there is an "Account No. 1" which is (as the money column shews) to bring out the " Reference to gross value." the form will shew that there is provision for the deduction of mortgages of leaseholds in this gross value account, and that the residue or value of the equity is then brought out into the " value gross column. The schedule of debts is another part of the affidavit. Every such estate as I am writing about will come out under £300 in this " gross value" column, so that, on their own shewing, the Inland Revenue authorities, by requiring Form A. to be used in all such cases, make executors pay an ad valorem duty on estates the 'gross value" of which is under £300. T. J. PETERS. 66 Widnes, Aug. 29. LIABILITY OF TRUSTEES. [To the Editor of the Solicitors' Journal.] Sir,-It is unfortunate that the observations made by the late Master of the Rolls in Speight v. Gaunt, quoted by you in a recent issue, were ever recorded. They, no doubt, state what the rule ought to be, but the present judges only quote them to explain away their meaning, and they continue to deceive the unwary. There is only one course for sensible men to take until the law is altered, and that is to avoid trusts as far as possible. Those who are saddled with them should do their best to get rid of the incumbrance, and those who are free should take care to remain so. In the meantime I take it to be the duty of every solicitor to advise a client against accepting a trust, and particularly against advancing any trust moneys on mortgage. Without going into niceties he may safely tell his client that, if there is a loss of trust funds, be will most probably be made liable "as honest as he is," and that if the loss arises out of a mortgage transaction he will certainly be made liable. It is not very material what particular pretext the judge will rely on for the purpose. The trustee is condemned in any case; he is, as it were, hanged first and tried afterwards. It is a difficult and disagreeable thing to get out of a trust, but the trustee must remember that those who now urge him to remain and speak of gratitude and their determination never to make an unjust claim upon him, will be the first to turn and rend him when Occasion arises; while the sacrificial priest, in the shape of Mr. Justice K. (or other letter), keeps his sharp blade always ready for the flaying. Let the trustee, then, be as firm in resisting these blandishments as the sacrificial priest referred to will be in the performance of his task. Let the widows and orphans be referred to that infallible trustee, the Chancery Division, who, unlike its victims, puts its cestuis que trustent to great expense and incurs no liability whatever. H. CASES BEFORE THE VACATION JUDGE. ATTACHMENT-MOTION TO DISCHARGE-COSTS. In the case of Buffalo Bill's Wild West Co. (Lim.) v. Sanger, before Kekewich, J., on the 7th of September, a question arose as to whether the defendant, George Sanger, was entitled to have an order made on the 31st of August last (SOLICITORS' JOURNAL, September 3), giving leave to issue a writ of attachment against him for contempt in committing breaches of an undertaking, discharged. The defendant undertook, before Chitty, J., not to use, or permit to be used, in any entertainment of his, the name of "Buffalo Bill," so as to be calculated to induce the belief that "Buffalo Bill" was Col. William Frederick Cody, commonly known as "Buffalo Bill," nor to use, or permit to be used, the words "Wild West" in any such manner as to induce the belief that the defendant's representation of the "Wild West" was the plaintiff's representation. Since the order of the 31st of August the programme had been altered, and now ran "Scenes from George Sanger's Far West," George Sanger's Buffalo Bill Wainer of the Ancient Order, and His Bully Boys," "No Connection with Any Other Person known as 'Buffalo Bill,' either in London or the Provinces.' It was contended, on behalf of the defendant, that the new programme could not deceive anyone. The defendant had paid the costs, and was entitled to the discharge of the order. On behalf of the plaintiff, it was said that the alteration of the words of the programme was not sufficient, since the defendant proposed to publish with the words pictures being exact copies of the plaintiff's pictures. The words in conjunction with the pictures were an evasion of the undertaking. 66 KEKEWICH, J., said that the pictures were what Bowen, L.J., called "a pictorial lie." He read the words in connection with the pictures; the pictures were not yet published, but he warned the defendant that he would publish them at his own risk. He considered the programme, standing alone, as unobjectionable; he, therefore, discharged the order, the defendant to pay the costs of this application.-COUNSEL, Latham, Q.C., and Bryan Farrer; Marten, Q.C., and Woad Hill. SOLICITORS, Lewis & Lewis; Janson, Cobb, & Pearson. TRADE-MARK- UNDERTAKING- VACATION-PLEADINGS-RULES OF COURT, 1883, ORD. 64, R. 4. In the case of Ackerman-Lawrence v. Bouvet, Ladubay, & Co., before Kekewich, J., on the 7th of September, a question arose as to delivery of pleadings in the Long Vacation. This was a motion to restrain the defendants from infringing the plaintiff's trade-mark for sparkling wines by using the words "Dry Royal," and "Brut Royal." The defendants gave to do what they could to advance the hearing. The plaintiffs, with the an undertaking to keep an account until the trial of the action, and consent of the defendants, asked that the pleadings might be delivered in the Long Vaacation. Ord. 64, r. 4, provides that no pleadings shall be amended or delivered in the Long Vacation unless directed by a court or a judge. KEKEWICH, J., made no order, except that the costs be costs in the action, and gave leave to deliver the pleadings in the Long Vacation. -COUNSEL, Waggett; Cann. SOLICITORS, Irvine & Hodge; Hart & Winch. CONTRACT-SURRENDER OF LAND FOR BUILDING PURPOSES-COMPENSATION. In the case of Hallett v. The Marquis of Bristol, before Kekewich, J., on the 7th of September, a question arose as to whether a gift of land for the purpose of building a vicarage came within an agreement to surrender land for building purposes. The plaintiff, the lessee of Blackrock Farm and other lands near Brighton, moved for an injunction to restrain the defendant, the lessor, from stumping out, enclosing, building, or interfering with any part of Blackrock Farm. By an agreement made the 19th of December, 1877, the defendant leased the farm to the plaintiff for a part of the land required by the defendant for building purposes, and that term of years, but it was provided that the plaintiff should surrender any thereupon the tenancy as to that part of the land should cease, and the plaintiff should be compensated for the land taken. The defendant gave notice that he required a certain piece of land on Blackrock Farm for the purpose of building St. Mark's Vicarage. The plaintiff alleged that a new agreement had been made between the parties by letters in October, 1886, and that the notice under the old agreement, was bad. He then brought an action for specific performance of the alleged new agreement. KEKEWICH, J., said that, whether the plaintiff held under the old or the new agreement, he considered that the plaintiff was equally bound by the clause to surrender the land. Mr. ARTHUR CHARLES, D.C.L., Q.C., has been appointed a Judge of the Queen's Bench Division, on the resignation of Mr. Justice Grove. Mr. Justice Charles is the son of Mr. Robert Charles, and was born in 1839. He was educated at University College School and at University College, London. He is a B.A. of the University of London, and he has received the honorary degree of M.A. from the Archbishop of Canterbury, and the honorary degree of D.C.L. from the University of Durham. He was called to the bar at the Inner Temple in Hilary Term, 1862, having in the previous November obtained a certificate of honour, and he has practised on the Western Circuit. He was for several years on the staff of the Weekly Reporter, and he subsequently reported for the Law Reports in the Court of Exchequer. In 1877 he became a Queen's Counsel, in 1878 he was appointed Recorder of Bath, in 1880 he presided chancellor of the diocese of Southwell. He was also a member of the over the Canterbury Election Commission, and in 1884 he was appointed Royal Commission on the Ecclesiastical Courts. Mr. Justice Charles is a Reporting, and Commissary of the Dean and Chapter of Westminster. bencher of the Inner Temple, a member of the Incorporated Council of Law Magistrate at the Gambia. Mr. Maxwell is the eldest son of the Rev. Mr. JOSEPH RENNER MAXWELL, barrister, has been appointed Chief Thomas Maxwell, and was born in 1857. He was educated at Merton College, Oxford, where he graduated second class in Jurisprudence in 1879. He was called to the bar at Lincoln's-inn in November, 1880. Mr. GEORGE WILLIAM MARSHALL, barrister, has been appointed Rouge Croix Pursuivant of Arms. Mr. Marshall was called to the bar at the Middle Temple in Michaelmas Term, 1865. He formerly practised on the Oxford Circuit. Mr. PERCY WITCHELL, solicitor, of Stroud, has been appointed Clerk to Witchell. Mr. P. As a matter of fact the receipts under these heads would have shewn a decrease, notwithstanding the increased number of cases, but for the fact that the cost of books, accounts, printing, and stationery, which in summary cases was formerly charged direct to bankrupt estates, is under the new scale of fees chargeable as a fee, the actual expenditure under this head being at the same time charged to the parliamentary vote. The receipts under the head of fees and the expenditure under the head of stationery are thus correspondingly increased. This reduction in the amount of fees received is partly due to the diminished value of bankrupt estates, as pointed out in the InspectorGeneral's report, and partly to modifications in the scale of fees. The not only to the assets realized, but to the work actually done. opportunity was also taken to fix a reasonable maximum amount to certain fees which, under the prior scale, had been found to press unduly upon estates in exceptional cases. Bills before Parliament.-A Bill, entitled "The Bankruptcy (Discharge and Closure) Bill," has been introduced into Parliament by the Government for the purpose (1) of enabling debtors who have been adjudged bankrupt, or whose affairs have been liquidated by arrangement under the court for their discharge in a manner similar to that prescribed under the Bankruptcy Act, 1869, or any previous Bankruptcy Act, to apply to the Bankruptcy Act, 1883; and (2) to expedite the closing of bankruptcies under the Bankruptcy Act, 1869. Other provisions of the Bill are framed with a view of relieving the official receiver, as continuing trustee, from any liability incurred by any prior trustee or by himself prior to his release under section 82 of the Bankruptcy Act, 1883. A Bill to make compulsory the registration of private deeds of arrangement is now before Parliament. If it becomes law it will furnish means of measuring the amount of insolvency in the country more accurately than has hitherto been possible in the absence of any official information as to the number of debtors arranging their affairs out of court. Office accommodation.-In pursuance of the Bankruptcy Office Accommodation Acts, 1885 and 1886, a Bill has been laid before Parliament this session to enable the Commissioners of her Majesty's Works to acquire certain lands and buildings in the parish of Saint Clement Danes, with a view of providing fresh accommodation for the Chief Official Receiver's department in the immediate vicinity of the High Courts of Justice. This Bill has passed both Houses, and awaits the Royal Assent. At the commencement of the present year the department of the Inspector-General was transferred from the premises occupied by him at 31, Great Georgestreet and 2, Victoria-street to 6, Whitehall-yard. The concentration of the Inspector-General's staff under one roof, and the close proximity of his present offices to those of the Board of Trade in Whitehall-gardens, have tended to promote convenience and facility of administration. Staff of official receivers.-There have been some changes in the staff of official receivers during the year. Mr. Watson, Mr. Ridgway, and Mr. Brooks have resigned their appointments for the districts of Nottingham, Warrington and Wigan, and Ashton-under-Lyne respectively. Mr. Thorpe has been appointed in succession to Mr. Watson at Nottingham; but no fresh appointments have been made for the other districts, the Manchester Official Receiver having undertaken the duties at Warrington and Ashton-under Lyne, and the Bolton Official Receiver the duties at Wigan. The number of official receivers for the county courts has thus been reduced from sixty-five to sixty-three. Administration orders under section 122.-The working of section 122 of the Bankruptcy Act in regard to administration orders against small debtors has been under the consideration of a committee appointed by the Lord Chancellor and the Board of Trade. The committe have suggested some amendments of the rules with a view to their better and more uniform working; and the Lord Chancellor has sent the suggested rules to the county court judges for their observations. The report and proposed rules have also been laid before Parliament. Pending bankruptcies under the Act of 1869.-A considerable number of bankruptcies under the Act of 1869 are still unclosed. London Gazette.-TUESDAY. Sept 6. GULCHER ELECTRIC LIGHT AND POWER CO, LIMITED.-Petition for winding up, directed to be heard before Kekewich, J., on Sept 14. Thomas & Hick, Cannon New rules and scales of costs.-The new rules referred to in last year's report were consolidated with such of the rules of 1883 as remained unaltered, and a revised code of rules and forms, together with a new scale of solicitors' costs and of brokers' and accountants' allowances, came into force on the 25th of October last. The amendments in the rules were devised to meet inconveniences or defects which the experience of between two and three years in the working of the Act had indicated, and the operation of the new rules has been found to facilitate the work both of the department and of official receivers and others in carrying out the details of administration. The simplification of the procedure and shortening of the time necessary for obtaining the approval of compositions and schemes in summary cases are among the most important changes thus effected. It is perhaps desirable that the provisions of the Act in regard to compositions and schemes in non-summary cases should be similarly modified, but this can only be done by further legislation. NUNNEY FRIENDLY SOCIETY, George Inn, Nunney, Frome, Somerset. Sept 1 During the preparation of the new rules some attention was given to the want of elasticity which is found to exist in the provisions of section 55 of the Act with regard to the disclaimer of onerous property, but it was not considered possible to effect the desired alterations by rule, and the question is now under consideration with a view to an amendment of the Act when the opportunity arises. There are various other proposals for diminishing expense and expediting administration which are beyond the scope of rules, but which it is hoped ultimately to effect by legislation. New scale of fees and percentages.—A revised scale of fees and percentages was brought into operation at the same time as the new rules.
